Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of meatfide.com (the "Platform") operated by Metafide, Inc. ("the Company," "we," "us," or "our"), 28 Liberty Street, 42nd Floor, New York, NY 10005. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Nature of the Platform: Research Analytics, Not Investment Advice

Metafide is a research and analytics service for institutional desk subscribers. The Platform delivers volatility surface forecasts, term structure analysis, sentiment signal scores, and cross-asset correlation research across equities, rates, FX, commodities, and credit. All outputs are analytical tools intended for internal research use by the subscribing desk.

The Platform does not provide investment advice, investment recommendations, or trade execution of any kind. No content on the Platform constitutes a recommendation to buy, sell, or hold any financial instrument or to pursue any particular investment or trading strategy. Metafide does not manage money, hold client funds, or act as a fiduciary. The Platform does not create an advisory or broker-dealer relationship between Metafide and any subscriber or user. Your desk retains full and exclusive responsibility for all trading, risk management, and investment decisions made using Platform outputs.

Metafide is not a registered investment adviser, broker-dealer, or futures commission merchant, and is not required to be.

3. Use of the Platform

• You must be at least 18 years old or have the consent of a parent or legal guardian to use the Platform. The Platform is designed for institutional and professional use.
• You agree not to use the Platform for unlawful purposes, to interfere with its operation, or to attempt to gain unauthorized access to systems or data.
• You may not scrape, reverse-engineer, resell, or copy Platform outputs except as permitted by applicable law or by the terms of your subscription agreement.
• Subscriber access is limited to the seats and use rights specified in the applicable subscription tier. You may not share credentials or sublicense access.

4. Intellectual Property

The Platform, including all research content, volatility models, analytics outputs, text, graphics, logos, and software, is owned by Metafide, Inc. or its licensors and is protected by U.S. and international intellectual-property laws. We grant subscribers a limited, non-exclusive, non-transferable license to access and use the Platform outputs for the subscriber's own internal research purposes. No license is granted to redistribute or resell Platform content.

5. User Content

You are responsible for any content you submit through the Platform (including via contact forms, access request submissions, or email). You represent that you have all necessary rights to submit such content. You grant us a limited license to use, store, and process the content as necessary to provide the Platform and respond to your inquiry. We do not use subscriber-submitted inquiry content to build competitor analytics tools.

6. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, METAFIDE, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VOLATILITY FORECASTS AND RESEARCH ANALYTICS ARE DERIVED FROM QUANTITATIVE MODELS AND SIGNAL PROCESSING; THEY ARE NOT GUARANTEES OF FUTURE MARKET BEHAVIOR. PAST FORECAST ACCURACY ON HISTORICAL DATA DOES NOT GUARANTEE FUTURE FORECAST ACCURACY. YOUR DESK USES PLATFORM OUTPUTS AT ITS OWN DISCRETION AND RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METAFIDE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, INCLUDING ANY TRADING LOSSES OR RISK MANAGEMENT DECISIONS MADE IN RELIANCE ON PLATFORM OUTPUTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID TO ACCESS THE PLATFORM IN THE THIRTY DAYS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Metafide, Inc. from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Platform, (b) your violation of these Terms, or (c) your violation of any third-party right.

9. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive (including Sections 2, 4, 6, 7, 8, 10, and 11).

10. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles.

Informal Resolution. Before filing a claim, you agree to contact us at [email protected] and attempt informal resolution for at least 60 days.

Arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered in New York, USA under the rules of the American Arbitration Association ("AAA"). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and Metafide, Inc. each waive the right to a jury trial and the right to participate in a class action.

Exception. Either party may seek injunctive relief in a court of competent jurisdiction located in New York, USA for intellectual-property infringement or unauthorized access to the Platform.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Platform after the effective date of the updated Terms constitutes acceptance.
